Other than the content you own, under these Terms, Prominence Africa and/or its licensors own all the intellectual property rights and materials contained in this Website.

You are granted a limited licence only for purposes of viewing the material contained on this Website.

Restrictions

You are specifically restricted from all of the following:

  • selling, sublicensing and/or otherwise commercialising any Website material;
  • publicly performing and/or showing any Website material;
  • using this Website in any way that is or may be damaging to this Website;
  • using this Website in any way that impacts user access to this Website;
  • using this Website contrary to applicable laws and regulations, or in any way that may cause harm to the Website, or to any person or business entity;

Certain areas of this Website are restricted from being accessed by you, and Prominence Africa may further restrict access by you to any areas of this Website, at any time, at its absolute discretion. Any user ID and password you may have for this Website are confidential and you must maintain that confidentiality.

Your Content

In these Website Standard Terms and Conditions, “Your Content” shall mean any audio, video, text, images or other material you choose to display on this Website. By displaying Your Content, you grant Prominence Africa a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and distribute it on and in connection with the operation and promotion of the platform. This licence ends when you remove Your Content, except where it has been shared with other members who retain copies, or where we are required to retain it by law.

Your Content must be your own and must not infringe any third party’s rights. Prominence Africa reserves the right to remove any of Your Content from this Website at any time without notice.

Fees and Payment

As consideration for any purchase you make for any of our products on the website, you shall pay all applicable fees and taxes. We (or our third-party payment processor) shall authorise your credit card, bank account, or other approved payment facility you provided during the registration process for the full payment of the fees and any applicable taxes, and you hereby consent to the same. If the mailing address you provided us is in Nigeria, all payments will be charged and made in Naira. If the mailing address you provided us is outside Nigeria, all payments will be charged and made in your local currency.

You must provide current, complete, and accurate billing and card information. You must promptly update all billing information (such as billing address, card number, and expiry date) to keep your account current, complete, and accurate, and you must promptly contact us if your card is lost or stolen, or if you become aware of a potential breach of account security (such as an unauthorised disclosure or use of your Sign-In Name or Password). You hereby authorise Prominence Africa to obtain or determine updated or replacement expiry dates for your card in the event that the card you provided us expires. We reserve the right to charge any renewal card issued to you to the same extent as the expired card. If payment is not received from your card issuer, you hereby agree to pay all amounts due upon demand. You agree to pay all costs of collection, including legal fees and costs, on any outstanding balance. In certain instances, the issuer of your card may charge you a foreign transaction fee or related charges, which you will be responsible to pay. You are advised to check with your bank and card issuer for details.

Membership tiers

Prominence Africa offers three membership tiers: Explorer (free), Prominent (annual subscription), and Founding Member (one-time payment). The features included in each tier are described on our pricing page and may be updated from time to time. We will not materially reduce the benefits of a paid tier during a period you have already paid for.

Annual subscriptions

Prominent membership is billed annually and renews automatically at the then-current price unless cancelled before the renewal date. You may cancel at any time through your account settings or by contacting us. On cancellation, your access continues until the end of the period you have paid for, and no further charges are made. We will give reasonable notice by email before any change to renewal pricing.

Founding Member and lifetime access

Founding Member is a one-time launch tier limited to 500 members. Once those places are taken, the tier closes and will not reopen at that price.

“Lifetime access” means access for as long as Prominence Africa continues to operate the platform. It does not create a perpetual obligation beyond the operating life of the service, and it does not guarantee that any particular programme, feature, event or service will remain available indefinitely. If we cease operating the platform, lifetime access ends at that point. Founding Member status is personal to you, is not transferable, and cannot be sold, assigned or shared.

Founding Member welcome package

Founding Members are entitled to one physical welcome package. To receive it, you must provide a shipping address when signing up. 

Packages are dispatched in batches rather than individually. Indicative timelines are up to six weeks within Nigeria and up to twelve weeks internationally, and these are estimates rather than guarantees. The contents and specification of the package may vary by region depending on local production and fulfilment availability, and we may substitute items of equivalent value.

You are responsible for any customs duties, import taxes or handling charges levied in your country. We are not liable for delays, losses or damage caused by carriers, customs authorities, incorrect addresses supplied by you, or other circumstances outside our reasonable control. Where a package is lost in transit, we will use reasonable efforts to arrange one replacement.

Prices and currency

Prices are displayed in Nigerian Naira. Where payment is taken in another currency, the amount charged is determined by the exchange rate applied by your payment provider at the time of the transaction. We may change our prices at any time; changes do not affect a subscription period already paid for, or a Founding Member place already purchased.

Account eligibility and conduct

You must be at least 16 years old to create an account or hold any membership, including free Explorer membership. Your account is personal to you and login credentials must not be shared. We may suspend or terminate an account that shares credentials, redistributes platform content, or breaches these Terms, without refund.

Refunds

Refunds are governed by our Refund Policy.

Third-party Sites

The Website may contain links to third-party websites (“External Sites”). These links are provided solely as a convenience to you and not as an endorsement by us of the content on such External Sites. The content of such External Sites is developed and provided by others. You should contact the site administrator or webmaster for those External Sites if you have any concerns regarding such links or any content located on such External Sites. We are not responsible for the content of any linked External Sites and do not make any representations regarding the content or accuracy of materials on such External Sites. You should take precautions when downloading files from all websites to protect your computer from viruses and other destructive programs. If you decide to access linked External Sites, you do so at your own risk.

No Warranties

This Website is provided “as is,” with all faults, and Prominence Africa expresses no representations or warranties of any kind related to this Website or the materials contained on this Website. Also, nothing contained on this Website shall be interpreted as advising you.

Limitation of Liability

In no event shall Prominence Africa, nor any of its officers, directors and employees, be held liable for anything arising out of or in any way connected with your use of this Website, whether such liability is under contract. Prominence Africa, including its officers, directors and employees, shall not be held liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Website.

Indemnification

You hereby indemnify to the fullest extent Prominence Africa from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to your breach of any of the provisions of these Terms.

Severability

If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.

Variation of Terms

Prominence Africa is permitted to revise these Terms at any time as it sees fit, and by using this Website you are expected to review these Terms on a regular basis.

Assignment

Prominence Africa is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

Entire Agreement

These Terms constitute the entire agreement between Prominence Africa and you in relation to your use of this Website, and supersede all prior agreements and understandings.

Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, and you submit to the non-exclusive jurisdiction of the courts of the Federal Republic of Nigeria for the resolution of any disputes.

Changes to Terms

Prominence Africa reserves the right, in its sole discretion, to change the Terms under which the Website is offered. The most current version of the Terms will supersede all previous versions. Prominence Africa encourages you to periodically review the Terms to stay informed of our updates.
